How to export model with materials

I have two scenes in two files and want to export models from first to second with all materials and maps.
Please help me how to do that.

3dstudio max 8.
i dont know what format to choose.

File --> Merge
No need to import/export within MAX.
Well... Unless you're moving stuff from a newer version to an older one.

If
you're exporting them for the purpose of using them in a different software package, I'd suggest .obj format. It's usually pretty universal and I
think
it will save material settings.
